1. Purpose and scope

These terms and conditions of sale ("Terms") govern the contractual relationship between ESOPE, an SAS registered under SIREN 778 147 322, operating the Relief Print brand (the "Studio") and any professional (architect, agency, hotelier, scenographer, project owner — the "Client") ordering a bespoke 3D relief wall print service.

Any order implies unreserved acceptance of these Terms, which prevail over any document of the Client (notably general purchase conditions), unless expressly accepted in writing.

2. Quote and order

Each project is the subject of a nominative quote based on the brief, plans and surface to be treated. The quote is valid for thirty (30) days from its issue date.

The order is firm upon receipt of the signed quote and payment of the deposit mentioned in article 4.

3. Services

The Studio delivers bespoke services including, depending on the quote: graphic design, 3D relief modelling, sampling, production of panels, quality control, packaging, delivery and, where applicable, install supervision or coordination.

Visuals shown on the site or in consultation are references; each order leads to a BAT (proof) submitted to the Client's written approval before production. Approval of the BAT releases the Studio from any liability on the approved elements (visual, dimensions, finish, relief depth).

4. Prices and payment terms

Prices are stated in euros, excluding tax. The applicable VAT is the one in force on the day of invoicing.

Unless stated otherwise in the quote:

• Deposit of 40% on order, triggering production.
• Balance of 60% on delivery, before unloading.
• Bank transfer at 30 days from invoice date for referenced clients.

Any late payment triggers, automatically and without formal notice, interest at the European Central Bank rate plus 10 points, as well as a fixed recovery indemnity of €40 (art. L.441-10 of the French Commercial Code).

5. Lead times and delivery

Lead times are indicative and start from the written approval of the BAT and the deposit being received. A reasonable delay does not entitle the Client to cancellation or compensation.

Delivery takes place at the address stated in the quote. Risk passes to the Client when goods are handed over to the carrier. Any reservation must be raised in writing with the carrier within three (3) days of receipt, and notified to the Studio within the same period.

6. Retention of title

Delivered panels remain the property of the Studio until full payment of the price, in accordance with French law n°80-335 of 12 May 1980. Risk nevertheless transfers upon delivery.

7. Warranties

The Studio warrants the conformity of delivered panels to the specifications of the approved BAT. Given the artisanal nature of hand finishing, slight variations in relief, hue or grain are inherent to the process and do not constitute a defect.

Installation, wall substrates and hygrometric conditions of the destination site remain the responsibility of the Client or its site management.

8. Intellectual property

Production files, 3D models and technical data developed by the Studio remain its exclusive property. The Client acquires a right of use over the delivered panel, excluding any reproduction right.

The Client warrants the Studio against any third-party claim related to visuals, trademarks, photographs or graphic elements supplied for integration.

Unless objected to in writing by the Client, the Studio reserves the right to photograph delivered projects and use them for promotional purposes (portfolio, website, press, trade shows).

9. Liability

The Studio's liability is capped at the pre-tax amount of the relevant service. The Studio cannot be held liable for indirect damages (loss of operation, loss of profit, image damage).

10. Force majeure

Neither party shall be held liable for any breach resulting from an event of force majeure within the meaning of article 1218 of the French Civil Code.

11. Governing law — Jurisdiction

These Terms are governed by French law. In the event of a dispute, and failing an amicable resolution, exclusive jurisdiction is granted to the Commercial Court of Annecy, including in case of multiple defendants or warranty claims.
